Confidentiality Agreement

To Whom It May Concern:

I will not at any time, either during or after my visit to and/or communications with the California Mechatronics Group (CMG), disclose to those not confidentially bound to CMG, or use for their or my own benefit, any information or trade secrets acquired or viewed during my visit and/or communications, without written consent from CMG.

"Trade Secret" as used in this agreement means all or any part of any scientific or technical or business information, design, process, procedure, formula or improvement, any future plans, customer lists, market studies, cost and price information, or similar business information which is secret and of value. A "Trade Secret" shall be presumed to be secret when CMG takes measures to prevent it from becoming available to persons other than those selected by it to have access for limited purposes. It shall be presumed to be of value if money has been spent in its development, if it gives CMG an opportunity to obtain an advantage over competitors who do not know or use it, or if it is saleable.
